ServiceTitan Inc., a cloud-based software company focused on trade businesses, set terms for its initial public offering early Tuesday with plans to offer 8.8 million shares priced at $52 to $57 a pop.
The Glendale, Calif.-based company would raise $501.6 million at the top of that range. With 90.5 million shares expected to be outstanding once the deal closes, the company would have a valuation of $5.2 billion.
The company is planning to offer three classes of shares; Class A shares will carry one vote, while Class B shares will carry 10 votes and be convertible to Class A stock at any time. Class C shares will have no votes and will no longer exist once the deal is completed.
ServiceTitan has applied to list on Nasdaq under the ticker “TTAN.”

On Monday, the Dow Jones Industrial Average fell 129 points, or 0.29%, to 44,782, the S&P 500 increased 15 points, or 0.24%, to 6,047, and the Nasdaq Composite gained 186 points, or 0.97%, to 19,404.
Futures indicate stocks will struggle for traction when the opening bell rings, as the market pauses for breath after both the Nasdaq Composite and S&P 500 closed the previous session a t fresh record highs.
“Ahead today, the U.S. Jolts job openings figure will be watched closely, as we lead up to the NFP report on Friday,” says Kathleen Brooks, research director at XTB.
“U.S. markets may also extend gains further after Fed governor Waller, considered one of the most important Fed members, said that he would support a rate cut in December, and gradual rate cuts after that,” Brooks added.
