Two of Wall Street’s most closely watched institutions have moved in opposite directions on PNE, regulatory filings show, with Morgan Stanley lifting its total voting stake above the 52% mark while Goldman Sachs trimmed its own position. The disclosures landed within days of each other and paint a picture of split conviction among the wind developer’s largest registered holders.

Morgan Stanley reported a rise in its aggregate voting position to 52.15% from 50.07%, according to a notification dated 15 October. The threshold event is cited as 8 October. The bank said the filing was triggered by the acquisition of client securities, over which Morgan Stanley & Co. International plc holds a usage right. Photon Management GmbH also appears in the disclosed ownership structure.

Goldman Sachs, by contrast, disclosed a decline in its total voting rights to 4.79% from 6.36%. That threshold was reached or crossed below on 8 October, the filing states. As with the other notifications, the figure bundles voting rights attached to shares together with those arising from financial instruments.

Union Investment Scales Back

The most recent disclosure came from Union Investment Management, which on 20 October reported a reduction in its aggregate voting position to 2.96% from 4.83%. The relevant threshold was breached on 19 October. The earlier position had been composed of 3.06% in share-based voting rights and a further 1.77% through instruments.

Target Price Cut Follows Lower Outlook

Behind the ownership shuffling sits a softer earnings picture. First Berlin Equity Research reaffirmed its buy rating on PNE on 20 October but trimmed its price target to EUR 8.30 from EUR 10.00. The research house tied the revision to the company’s reduced earnings guidance and updated assumptions.

PNE had cut its forecast for the 2026 financial year roughly two weeks earlier. Management now expects EBITDA of between EUR 60 million and EUR 75 million. On a normalized basis, the guidance range sits at EUR 65 million to EUR 80 million.

The company attributed the downgrade to project delays stemming from protracted sale processes and slower approvals, along with a decision to retain certain wind farms on its own books rather than divest them. Those deferred projects are now slated for realization in 2027.

Eleven Projects Sold So Far

Divestment activity has not stalled entirely. According to the company, eleven projects totaling around 361 megawatts have been sold in Germany, Poland and France during 2026 to date.

Investors will get their next look at the numbers on 12 November 2026, when PNE is scheduled to publish its quarterly statement for the third quarter of 2026.
