What this means for investors

On Monday, Marvell Technology announced a $115 billion all-stock agreement to buy Lumentum, a manufacturer of critical optical communications components, network modules, and commercial lasers for efficient data transmission. The acquisition is intended to boost Marvell’s data center offerings to capitalize on the artificial intelligence boom.

Last week, reports that Marvell was in advanced talks to buy Lumentum caused shares to slide as investors evaluated execution risk and capital allocation. Now that the deal has been announced, the market is weighing dilution, valuation, and financing risk.

Marvell CEO Matt Murphy explained the rationale for the acquisition, stating, “AI infrastructure is undergoing a fundamental architectural shift toward optical connectivity, creating an opportunity that comes along once in a generation.”

Marvell was already on a path toward massive growth. During its Investor Day on Oct. 6, the company raised its revenue outlook for its 2028 fiscal year (FY), ended Jan. 31, 2028, to $20 billion, and set a FY2031 target of $70 billion to $90 billion in sales. Adding Lumentum could be a game changer, as tech giants spend billions of dollars to build data centers capable of rapid computational processing in support of increasingly complex AI systems.
