What Happened?
Shares of product design software company PTC (NASDAQ:PTC) jumped 36% in the pre-market session after Schneider Electric agreed to acquire the company in an all-cash transaction valued at $205 per share, a company press report revealed.
The report revealed that the transaction reflects an equity value of approximately $22.6 billion and an enterprise value of $23.7 billion, representing a 42.3% premium over PTC’s previous closing price. Financial Times reported that the transaction is the French conglomerate’s largest acquisition to enhance software capabilities for manufacturing plants and engineering processes. The substantial cash premium provides shareholders with immediate value certainty, aligning the stock price closely with the takeover bid and reflecting strong strategic demand for industrial software capabilities.
